Public issue of upto 18,75,000 equity shares of face value of Rs. 10/- each of Infinium Pharmachem Limited ("Infinium" or the "Company" or the "Issuer") for cash at a price of Rs. 135/-* per equity share including a share premium of Rs. 125/- per equity share (the "Issue Price") aggregating to Rs. 25.26 crores ("The Issue"), of which 41,000 equity shares of face value of Rs. 10/- each for cash at a price of Rs. 121.50/-* each aggregating to Rs. 0.50 crores will be reserved for subscription by eligible employees [other than promoter and promoter group] of the issuer (the "Employees Reservation Portion") and 94,000 equity shares of face value of Rs. 10/- each for cash at a price of Rs. 135/- per equity share including a share premium of Rs. 125/- per equity share aggregating to Rs. 1.27 crores will be reserved for subscription by market maker to the issue (the "Market Maker Reservation Portion"). The issue less the market maker reservation portion and employees reservation portion i.e. net issue of 17,40,000 equity shares of face value of Rs. 10/- each at a price of Rs. 135/- per equity share including a share premium of Rs. 125/- per equity share aggregating to Rs. 23.49 crores is herein after referred to as the "Net Issue". The issue and the net issue will constitute 26.95% and 25.01% respectively of the post issue paid up equity share capital of the company. *The company in consultation with the lead manager, have offered a discount of Rs. 13.50/- per equity share to eligible employees bidding in the employee reservation portion. The face value of the equity shares is Rs. 10 each and the issue price is Rs 135/-. The issue price is 13.5 times of the face value. 3
