Initial public offering of 101,323,893# equity shares of face value of Rs. 2 each ("Equity Shares") of International Gemmological Institute (India) Limited (The "Company" or the "Company") for cash at a price of Rs. 417 per equity share (including a premium of Rs. 415 per equity share) ("Offer Price") aggregating to Rs. 4225.00# crores (the "Offer") comprising a fresh issue of 35,376,651# equity shares of face value Rs. 2 each aggregating to Rs. 1475.00# crores (the "Fresh Issue") and an offer for sale (the "Offer for Sale") of 65,947,242# equity shares of face value Rs. 2 each aggregating to Rs. 2750.00# crores, by BCP Asia ii Topco Pte. Ltd. ("Promoter Selling Shareholder") ("Offered Shares).
This offer included a reservation of 52,910# equity shares of face value
Rs. 2 each (constituting 0.01% of the post-offer paid-up equity share capital of the company) aggregating to Rs. 2.00 crores for subscription by eligible employees (as defined hereinafter) (the "Employee Reservation Portion"). The company, in consultation with the brlms offered a discount of 9.35% of the offer price to eligible employees bidding in the employee reservation portion ("Employee Discount"). The offer less the employee reservation portion is hereinafter referred to as the "Net Offer". The offer and the net offer constituted 23.45% and 23.43% of its post-offer paid-up equity share capital of the company, respectively.
The face value of equity shares is Rs. 2 each. The offer price is 50.98 times the face value of the equity share.
